PAINTZ Ambassador Agreement
Between PAINTZ AS, org. no. 934 310 659, Innspurten 10B, 0663 Oslo, Norway, and you, who sign up as an ambassador ("PAINTZ Ambassador"). You must be at least 18. The agreement starts when we have approved you and sent you your code.
1. Role and purpose
The PAINTZ Ambassador promotes the PAINTZ brand and products, brings in new business customers and makes PAINTZ visible through social media and personal contact.
The PAINTZ Ambassador is responsible only for promotion and sales. PAINTZ AS is responsible for production, packaging and delivery. The PAINTZ Ambassador cannot make agreements, give prices or promise anything on behalf of PAINTZ AS.
2. Compensation
You receive NOK 500 for each new customer you bring to PAINTZ AS. A "new customer" is an approved business that signs up with your code and makes its first completed purchase (first order invoiced).
For every 10th repeat order from a customer you brought in (order no. 11, 21, 31 and so on), you receive an extra bonus of NOK 500.
Only invoiced orders count. Cancelled or credited orders give no compensation, and what was already paid for them may be deducted from the next payment. Collaboration products (BRUSH) and orders from a business you own or manage give no compensation.
Payment is monthly, after you have sent an invoice on the last working day of the month. We send you an overview of what you have earned. Amounts are without VAT; if you are VAT registered, add VAT on your invoice.
No additional payment is made per post or other activity.
3. Tasks and marketing
You promote PAINTZ and bring in new business customers in Norway with your code. You are not required to post on your own social media, but may do so voluntarily.
All posts and marketing must follow Norwegian law, including the ban on advertising and marketing alcohol (Alcohol Act section 9-2). Show PAINTZ without advertising alcoholic drinks.
Say clearly that you are a PAINTZ Ambassador and are paid when you recommend PAINTZ, for example with "Reklame" (advertisement) (Marketing Control Act section 3). Do not give wrong or misleading information about the products, for example about ingredients, allergens or "natural".
Do not send marketing by e-mail, text message or direct message to anyone who has not agreed to it (Marketing Control Act section 15). Do not buy ads or register domains or accounts with the PAINTZ name.
Posts on the official PAINTZ AS Instagram account must be approved by PAINTZ AS before publication.
4. Employer and fair dealing
If you work at, or influence purchasing at, a business that buys PAINTZ, you must tell your employer about this agreement and the compensation and have their written approval before you are paid for that business.
Never offer or give anyone an advantage to make them buy (Penal Code sections 387 and 388).
5. Materials and samples
PAINTZ AS may provide free samples for promotion. They remain the property of PAINTZ AS and are to be used for demonstration only.
6. Confidentiality
You must not share non-public information about PAINTZ AS, including recipes and formulations, supplier names and pricing structures, production processes and methods, sales data, customer lists and marketing plans. This applies during and after the agreement.
7. Work in production
PAINTZ Ambassadors may be offered work in production at NOK 250 per hour. That is regulated by a separate written agreement with a more extensive confidentiality clause.
8. Independence
You are an independent contractor, not an employee of PAINTZ AS and not a commercial agent. You are responsible for your own taxes, insurance and other legal obligations. To send an invoice you need a business, for example a sole proprietorship (free to register in the Brønnøysund Register Centre).
9. Ownership of content
Content created for and posted on the official PAINTZ AS Instagram account belongs to PAINTZ AS, also after the agreement ends.
10. Personal data
We store your name, e-mail, phone, workplace, city, any org. number, your code, which customers used it and your compensation. Basis: the agreement and the bookkeeping duty. Payment records are kept for 5 years (Bookkeeping Act). See "How we process personal data" on paintz.no.
11. Termination
Either party may terminate the agreement with 14 days’ written notice. You can terminate at any time on paintz.no/ambassador; that counts as written notice. Your code then stops working for new customers.
Compensation for orders invoiced before the agreement ends is paid. On termination you stop using the PAINTZ brand and return samples and materials.
You must represent PAINTZ AS in a positive and professional manner. Defamatory, misleading or offensive representation, or a breach of points 3, 4 or 6, may result in immediate termination.
12. Changes, law and venue
PAINTZ AS may change the agreement with at least 30 days’ notice by e-mail. If you do not want to continue, you can terminate. The agreement is governed by Norwegian law. We try to settle disagreements amicably; otherwise Oslo District Court is the venue.
