Terms of sale for business customers

1. Parties

Seller: PAINTZ AS, org. no. 934 310 659 MVA, registered in the Norwegian Register of Business Enterprises (Foretaksregisteret). Innspurten 10B, 0663 Oslo, Norway. post@paintz.no, +47 463 07 132.

Buyer: the company registered as a customer in the shop.

2. Businesses only, Norway only

The shop is for businesses only. We do not sell to consumers, and consumer sales and cancellation rules do not apply. We sell and deliver only to businesses with a delivery address in Norway.

The Norwegian Sale of Goods Act (kjøpsloven) applies where these terms say nothing else.

3. Account and contract

The company registers with its org. number. We check the details in the Brønnøysund register and approve the account. The person who registers and orders must be authorised to act for the company. The company is responsible for orders from its users.

The contract is formed when we have sent the order confirmation by e-mail. We may reject an order, for example if a price is clearly wrong or invoices are overdue. We will tell you as soon as possible.

4. Prices

Prices are per box (6 vacuum bags of 180 g net + 2 empty glass jars) including VAT. Shipping is added and shown in the cart before you order.

We may change prices with at least 30 days’ notice. Confirmed orders are delivered at the agreed price.

Promo codes apply to PAINTZ products only, not to shipping (unless the code gives free shipping) and not to collaboration products.

5. Invoice and payment

The invoice is made and sent from our accounting system (Tripletex), as EHF or by e-mail to the invoice address you gave us. Payment is due 30 days from the invoice date unless otherwise agreed.

If payment is late, we are entitled to late payment interest under the Late Payment Interest Act and a fixed compensation in Norwegian kroner under section 3a of that act. Reminder fees and collection costs under the Debt Collection Act come in addition.

We may set a credit limit and hold back deliveries while overdue amounts are unpaid.

6. Delivery and risk

We ship with Posten/Bring to the delivery address in the order, usually within 2 to 5 working days after the order is confirmed. Delivery times are indicative. If a delivery is much delayed, we will tell you.

Risk passes to the buyer when the goods are delivered at the delivery address.

7. Inspection on receipt

The buyer must inspect the goods on arrival (Sale of Goods Act section 31): number of boxes, whole bags and jars and undamaged packaging.

8. Complaints

Visible damage and wrong quantity: tell us within 3 working days of receipt.

Other defects: tell us within a reasonable time, and no later than 14 days after the defect was or should have been discovered.

Write to post@paintz.no with the order number, the lot number on the label and ideally a photo. For a defect we fix it, send new goods or issue a credit note.

9. Storage and use

Products must be stored and used as described on the label. We are not liable for defects caused by wrong storage, use after the best-before date or use contrary to the labelling.

10. Liability

We are not liable for indirect loss, such as lost profit or loss in the buyer’s business. Our total liability is limited to the invoiced amount for the goods concerned.

These limits do not apply in case of intent or gross negligence, or where mandatory law says otherwise.

11. Recalls

Every bag has a lot number. In a recall we contact the customers who received goods from that lot. The buyer must follow our instructions and stop using the goods. The buyer gets new goods or a credit note.

12. Force majeure

Neither party is liable for delay or non-performance caused by circumstances beyond its control, for example natural disaster, war, strikes, pandemics, orders from authorities or failure at a carrier or supplier. The party must give notice as soon as possible.

13. Collaboration products

BRUSH is made by PAINTZ for Cold Pressed AS (org. no. 920 401 899). BRUSH is sold and invoiced by Cold Pressed AS, 250 kr per bag incl. VAT. Promo codes do not apply.

We pass the order on to Cold Pressed AS through a secure link, and we ship the goods.

15. Changes

We may change these terms. New terms apply to orders placed after they are published here with a new version and date. Every order stores the version it was placed under.

16. Law and venue

The contract is governed by Norwegian law. Disputes are first to be solved by negotiation. Otherwise Oslo District Court (Oslo tingrett) is the agreed venue.
